END USER LICENSE AGREEMENT

1. Agreement and ownership

This End User License Agreement ("Agreement") is between ELECMORE LTD, a company
registered in England and Wales under company number 15835884 ("Elecmore"), and
the individual or organization using PDN Analyzer by Elecmore
(the "Software"). By accepting this Agreement during installation or using the
Software, you agree to its terms. If you act for an organization, you must have
authority to accept them on its behalf. If you do not agree, do not install or
use the Software.

The Software is licensed, not sold. Its proprietary code, documentation,
branding and other Elecmore materials remain the property of Elecmore or its
licensors. The current offer of the Software free of charge does not make it
open-source software, transfer ownership or waive intellectual-property rights.

2. Limited license

Subject to this Agreement and any applicable account entitlement, Elecmore
grants you a limited, non-exclusive, non-transferable license to install and use
the official, unmodified Software on supported computers for your own personal
or internal commercial PCB-design and engineering work. You may make reasonable
backup copies for that permitted use. Authorized personnel using it for an
organization remain subject to the applicable account and access requirements.
No right to sublicense, sell or publicly distribute the proprietary Software is
granted. Obtain Elecmore's written permission for other distribution or uses.

An entitlement may have an expiry or other conditions communicated through the
existing account service. The current free-of-charge offer does not promise
indefinite service availability, future features, future free versions or
support beyond any express commitment separately made by Elecmore. No payment
obligation is created by this Agreement alone.

3. Restrictions

Except where Elecmore has given prior written authorization, and except to the
extent such restriction is prohibited by applicable law, you must not:

(a) modify, adapt or create derivative works of the proprietary Software, or
    redistribute a modified version;
(b) bypass, disable, interfere with or intentionally tamper with authentication,
    licensing, entitlements, integrity verification or security mechanisms;
(c) reverse engineer, decompile or disassemble the proprietary Software;
(d) evade or attempt to circumvent account, server, rate-limit or access
    restrictions, including by impersonating another user or providing forged
    authorization information;
(e) use the Software, its proprietary implementation or its branding to develop
    or distribute a modified or impersonating Elecmore build, or present an
    unauthorized build as an official Elecmore product;
(f) remove or misrepresent copyright, attribution or other proprietary notices;
    or
(g) conduct malicious testing, exploitation, disruption or other unauthorized
    security testing against Elecmore's production accounts, API, administration
    systems, hosting or other infrastructure.

Keep your account credentials and verification codes confidential. Do not use
the Software or account service for unlawful purposes or to infringe another
person's rights. Good-faith reporting of an issue through an authorized support
channel does not itself authorize access, exploitation or disruptive testing.

These restrictions do not override rights granted by a third-party open-source
license. In particular, for LGPL-licensed GEOS, you may modify your own local
copy of the combined work for your own use and reverse engineer it as needed
to debug modifications to that library. You may replace or relink the library
and perform the necessary local trust/verification re-signing using the supplied
Relink-GEOS utility. The proprietary-modification and security restrictions
above do not prohibit these activities when undertaken to exercise those LGPL
rights. Rights to redistribute the LGPL library itself under its license are
also preserved.

A combined copy modified locally in this way is an unofficial local copy. It
must not be represented or distributed as an official Elecmore build. These
permissions do not grant an Elecmore account, entitlement, production signing
key or server privilege, do not authorize circumventing server/account controls,
and do not grant broader redistribution rights in Elecmore's proprietary
components except where applicable law or a controlling third-party license
requires them. See section 10 and THIRD_PARTY_NOTICES.txt.

4. Your PCB and project data

You retain all ownership and other rights you have in your PCB files, designs,
project data, analysis settings and outputs. This Agreement does not transfer
those rights to Elecmore. You are responsible for obtaining permission to use
any third-party data you process and for maintaining appropriate backups.

The application account system does not automatically upload PCB designs,
board geometry, project files or electrical analysis results. Account, banner
and feedback communications are described in PRIVACY_NOTICE.txt. Information
you deliberately submit in a feedback message is transmitted with that message.

5. Engineering scope and Public Beta status

Version 1.1.0 is a Public Beta / Preview for steady-state DC power-distribution-
network analysis. It provides engineering assistance using the implemented
models, input assumptions and discretization. It is not a manufacturing release
approval, product safety certification or substitute for qualified engineering
judgment, independent calculation, measurement and verification.

This version does not implement a thermal solver, an AC impedance solver or an
SI/EMI solver and does not provide IPC ampacity certification. No guarantee of
thermal behavior, AC behavior, signal integrity, EMI, EMC or IPC compliance is
given unless an expressly identified, implemented feature and a separate
written commitment state otherwise. Check inputs, materials, contacts, boundary
conditions, units and output limitations before relying on an analysis.

Public Beta software may contain defects, limitations or interruptions. You
remain responsible for deciding whether its use is appropriate for a project
and for validating designs before manufacturing or safety-critical use.

6. Privacy and account service

PRIVACY_NOTICE.txt explains the desktop application's local processing,
account-related communications and optional feedback diagnostics. The
privacy-policy address is:

This Agreement does not reduce rights granted by applicable data-protection law
or authorize undisclosed uses of personal information.

7. Feedback

Submitting feedback is voluntary. You retain ownership of material you submit.
For feedback you choose to provide, you grant Elecmore a non-exclusive,
worldwide, royalty-free license to review, reproduce and use it to support,
maintain and improve its products and services. This includes implementing
suggested ideas without an obligation to compensate you. Personal information
in feedback remains subject to the privacy notice and applicable law.

Do not include passwords, OTPs, account tokens, private keys, confidential PCB
designs or information you are not authorized to disclose. No entitlement to a
response, implementation, payment or public attribution arises from feedback
alone. These feedback terms do not grant Elecmore rights to PCB/project data
that you have not submitted.

8. Warranty disclaimer

To the maximum extent permitted by applicable law, the Software and associated
services are provided "as is" and "as available," without express or implied
warranties, including warranties of merchantability, fitness for a particular
purpose, non-infringement, accuracy or uninterrupted operation. Elecmore does
not warrant that every defect will be corrected or that all engineering results
will be error-free or suitable for a particular design.

This disclaimer does not exclude a warranty, guarantee or consumer right that
applicable law does not allow to be excluded, or an express warranty Elecmore
has separately agreed to in writing.

9. Liability and termination

To the extent permitted by applicable law, Elecmore is not liable for indirect,
incidental, special or consequential losses, or loss of profits, business,
opportunity or data, arising from use of or inability to use the Software or
associated services. Subject to the exceptions below, Elecmore's aggregate
liability relating to the Software or this Agreement is limited to the greater
of the amount you paid Elecmore specifically for the Software during the twelve
months preceding the event giving rise to the claim and £100 (or its local
currency equivalent).

Nothing in this Agreement excludes or limits liability for fraud, fraudulent
misrepresentation, death or personal injury caused by negligence, willful
misconduct, gross negligence where it cannot lawfully be limited, or any other
liability or remedy that applicable law does not allow to be excluded or
limited. Mandatory rights prevail over conflicting terms.

Elecmore may terminate this license for a material violation of this Agreement.
Where reasonably practicable and appropriate to the violation, Elecmore will
give notice and a reasonable opportunity to remedy it; immediate action may be
taken where necessary to address security abuse, fraud or continuing unlawful
conduct. On termination, stop using and remove the proprietary Software,
except for copies you must retain by law. Termination does not transfer your
PCB/project data to Elecmore or require you to delete your own designs, data or
reports. Rights under third-party licenses are not terminated by this clause.

10. Third-party components

Third-party components are licensed by their respective authors under the
licenses reproduced in THIRD_PARTY_NOTICES.txt and accompanying component
license files. For each such component, its license prevails over any conflicting
term in this Agreement. Elecmore does not claim ownership of third-party
components or restrict rights that their licenses grant. Third-party authors
do not endorse the Software merely because their components are included.

11. General terms and governing law

If a provision is unenforceable, it is limited or severed only to the extent
necessary, and the remaining provisions continue subject to applicable law.
This Agreement and any expressly agreed written supplement govern the
proprietary Software; they do not replace applicable privacy obligations or
third-party licenses. No delay in enforcing a right waives that right.

This Agreement and any non-contractual obligations arising out of or relating
to it are governed by the laws of England and Wales. If you are a consumer,
this choice does not deprive you of mandatory protections under the law of the
country where you habitually reside. Disputes may be brought before a court
with competent jurisdiction under applicable law. Nothing in this Agreement
requires a consumer to bring proceedings in a court other than one available
to them under mandatory law, or limits a mandatory right to bring a claim.
